1. Description of Service

IT Talent Direct provides IT talent sourcing and direct outreach services. We aggregate publicly available professional data to identify potential candidates and facilitate initial contact between employers (Clients) and IT professionals (Candidates).

Note: We are a sourcing partner, not a traditional employment agency. We do not guarantee hiring, only the delivery of candidate interest and contact information.

2. Account Registration

To use our services, you must provide accurate corporate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Payment Terms (Pay-After-Result Model)

Our billing is triggered based on performance:

• Trigger Event: Payment becomes due when a Candidate responds to our outreach with a resume or expresses interest in the Client's vacancy.
• Invoicing: We will send an invoice at the end of the campaign or upon reaching a pre-agreed number of responses.
• Payment Terms: Invoices are payable within 14 days of receipt unless otherwise agreed in writing.
• Refunds: Since no prepayment is taken, refunds are generally not applicable. However, if the campaign fails to generate any interest due to our error, we may offer a re-run of the campaign at no cost.

4. Data Usage and Compliance

By using our services, you acknowledge that:

• We source data from publicly available professional networks and databases.
• You agree to use candidate data solely for recruitment purposes.
• You are responsible for complying with local labor laws and data protection regulations (e.g., GDPR, CCPA) in your jurisdiction when contacting candidates.

5. Intellectual Property

All content, logos, and software provided by IT Talent Direct are our property. You may not copy, distribute, or resell our candidate databases or methodologies to third parties.

6. Limitation of Liability

IT Talent Direct shall not be liable for:

• The accuracy of candidate resumes or claims made by candidates.
• Any employment disputes between the Client and the Candidate.
• Changes in third-party platform policies (e.g., LinkedIn, HH.ru) that may affect data availability.
• Indirect or consequential damages arising from the use of our services.

7. Termination

We reserve the right to suspend or terminate your access to our services if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding invoices.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Country/Jurisdiction], without regard to its conflict of law provisions.

9. Changes to Terms

We may modify these Terms at any time. Continued use of the service after changes constitutes acceptance of the new Terms.
